These Vehicle Listing & Marketplace Rules ("Marketplace Rules" or "Rules") set out the operational standards that govern participation in the Asaba Auto Exchange ("AAE", "we", "us" or "our") automotive marketplace.
These Rules focus on marketplace conduct — listing vehicles, communicating with other users, representing vehicle condition, and the distinction between seller-reported information and information verified through an AAE process. They are designed to be read alongside the Terms of Use and the Privacy Policy, which are separate documents.
1.Who These Rules Apply To
These Marketplace Rules apply to users participating in relevant AAE marketplace activities, including:
- Independent vehicle sellers;
- Dealers;
- Buyers;
- Account holders; and
- Users who submit listings, offers, inspection requests, reviews, reports or other marketplace content.
Different obligations may apply depending on a user's marketplace activity. Not every visitor is a dealer or seller.
2.Marketplace Role of AAE
AAE provides an automotive marketplace through which users may discover vehicles and connect with independent sellers and dealers.
Unless AAE expressly states otherwise for a specific transaction:
- AAE does not own the listed vehicle;
- AAE is not the vehicle seller;
- AAE is not automatically the buyer's agent;
- AAE is not automatically the seller's agent;
- AAE does not guarantee completion of a transaction; and
- Payment between buyer and seller is not automatically held by AAE.
AAE does not currently provide an escrow or payment-holding service.
4.Listing Accuracy
Sellers must provide materially accurate listing information. Sellers must not knowingly misrepresent matters such as:
- Make, model, year and trim;
- Condition;
- Price;
- Mileage;
- Registration status;
- Vehicle location;
- Ownership or authority;
- Accident and history disclosures;
- Flood history;
- Documentation status;
- Features and equipment;
- Photographs; and
- VIN, where supplied.
Seller-provided claims remain seller-reported unless independently verified through an applicable AAE process.
5.Vehicle Condition Taxonomy
AAE uses a structured condition taxonomy for vehicle listings. The canonical condition categories are:
- Brand New;
- Foreign Used; and
- Nigerian Used / Locally Used.
Sellers must select the condition category that most accurately reflects the vehicle.
Expressions such as "Tokunbo", "Registered", "Few Months Registered" or "Direct Tokunbo" may describe a vehicle naturally where truthful, but they do not replace AAE's canonical condition taxonomy and should not be used to misrepresent the vehicle's condition.
Registration status and history are represented through structured listing fields where available.
6.Pricing
Advertised prices must be genuine and not intentionally misleading. Sellers must not use practices such as:
- Fake placeholder prices intended to manipulate search visibility;
- Deliberately false prices;
- Bait pricing; or
- Using a deposit amount as though it were the vehicle's total price without clear disclosure.
AAE permits sellers to indicate that a price is negotiable or available on request. Where a price is negotiable, the advertised price should still be a genuine starting point.
7.Mileage
Where mileage is supplied, sellers must provide information they reasonably believe is accurate.
Sellers must not knowingly:
- Falsify mileage;
- Misrepresent odometer readings; or
- Present uncertain mileage as verified fact.
AAE does not represent seller-supplied mileage as independently verified unless it actually was verified through an AAE process.
8.VIN
Where sellers provide a Vehicle Identification Number (VIN) or chassis number:
- It should relate to the listed vehicle;
- Sellers must not intentionally provide a false VIN; and
- Sellers must not use another vehicle's VIN.
VIN information may be used for marketplace integrity and vehicle identification purposes.
Providing a VIN is optional. AAE does not guarantee that VIN information is restricted from all public API responses for publicly readable vehicles.
9.Vehicle History, Accident and Flood Claims
Sellers must not knowingly make false claims concerning:
- Accident history;
- Flood history;
- Clean title;
- Customs status;
- Registration history;
- Number of owners;
- Repair history; and
- Vehicle documentation.
Claims such as "accident-free", "flood-free", "clean title", "first body" or "buy and drive" must remain seller representations unless AAE has an actual independent process establishing the claim.
AAE must not automatically adopt seller claims as its own guarantees.
10.Vehicle Documents
Sellers must truthfully represent document status.
AAE does not authenticate every registration document, customs document, ownership document, title, receipt or government record unless a specific verification process actually occurred.
Buyers should independently verify relevant documents before payment.
11.Vehicle Photographs
Listing photographs must:
- Reasonably represent the advertised vehicle;
- Not intentionally depict a different vehicle;
- Not intentionally conceal identity for fraudulent purposes;
- Not contain misleading overlays designed to impersonate AAE; and
- Not infringe third-party rights.
Sellers should have the necessary rights or permission to upload the images they use. Professional photography is not required.
12.Image Manipulation and Misleading Media
Materially deceptive manipulation intended to misrepresent vehicle condition or identity is prohibited.
Reasonable editing such as cropping, brightness correction, or privacy redaction (such as blurring a number plate) should not automatically violate these Rules where it does not create a materially false impression of the vehicle's condition.
AAE does not impose an unrealistic ban on all edited images. The standard is whether the editing creates a materially false impression.
13.Video and External Media
Where external video URLs are supported in vehicle listings:
- The video should relate to the listed vehicle;
- Sellers must not use malicious or deceptive links;
- Sellers must not link to prohibited content; and
- External platform rules may also apply.
AAE stores video URLs provided by sellers. AAE does not host external videos.
14.Duplicate Listings
AAE operates image-based duplicate detection that compares listing photographs across the marketplace. Where duplicate images are detected, the affected listing may be held for review.
Sellers must not create abusive duplicate listings intended to:
- Manipulate marketplace visibility;
- Flood search results;
- Evade moderation; or
- Repeatedly advertise the same vehicle deceptively.
Legitimate corrections or relisting should not automatically be treated as abuse. AAE's duplicate detection is not infallible and does not catch every form of duplicate listing.
15.Prohibited Vehicle Listings
The following types of vehicle listings are prohibited:
- Stolen vehicles;
- Fraudulent vehicles;
- Knowingly falsified ownership;
- Materially misrepresented vehicles;
- Non-existent vehicles used to solicit money;
- Vehicles advertised without legitimate authority;
- Listings primarily designed for scams or phishing;
- Unlawful goods disguised as vehicle listings;
- Malicious links; and
- Prohibited or illegal content.
16.Prohibited Content
Users must not publish content that is:
- Fraudulent;
- Intentionally deceptive;
- Unlawfully threatening;
- Defamatory where unlawful;
- Infringing of third-party rights;
- Malicious;
- Designed to distribute malware;
- Impersonating another person or business;
- Unlawfully discriminatory; or
- Otherwise unlawful.
These standards are applied consistent with applicable Nigerian law.
17.Dealer Profile Accuracy
Dealers must keep material profile information reasonably accurate, including business name, contact details and location.
Dealers must not knowingly impersonate another dealership or business.
Business or account information submitted for verification must not be intentionally falsified.
18.Verified Dealer — What It Means and Does Not Mean
A "Verified Dealer" designation relates to the dealer or account verification process. It indicates that AAE has completed certain identity, business or account checks.
Verified Dealer does NOT automatically mean:
- Every vehicle has been inspected;
- Every vehicle has been verified by AAE;
- Every listing claim has been independently confirmed;
- The vehicle is accident-free;
- The vehicle is flood-free;
- The VIN has been independently verified;
- The vehicle has a clean title;
- The seller is guaranteed to perform; or
- AAE guarantees the transaction.
Verified Dealer ≠ Vehicle Inspected.
19.Vehicle Inspection — What It Means and Does Not Mean
Vehicle inspection is a separate process from dealer or account verification.
An inspection request or inspection status must not be treated as a dealer verification decision.
Where vehicle inspection functionality is used:
- Inspection scope may vary depending on what was requested;
- Inspection does not automatically create a warranty;
- Inspection cannot guarantee future mechanical performance; and
- Buyers should understand what was actually inspected.
AAE does not currently provide an express written warranty for inspections.
20.Seller-Reported vs AAE-Verified Information
AAE distinguishes between:
- Seller-reported information — claims provided by the seller or dealer in a listing or profile; and
- AAE-verified information — information actually verified or inspected through an AAE process.
AAE must not present ordinary seller declarations as AAE-certified facts. Where the Platform uses status labels, they align with their actual meaning.
21.Buyer Responsibilities
Buyers are encouraged, before payment, to take reasonable steps such as:
- Inspect the actual vehicle;
- Confirm seller identity and authority;
- Verify the VIN where appropriate;
- Verify ownership, registration and customs documents;
- Compare listing details against the actual vehicle;
- Use a qualified mechanic where appropriate;
- Road-test where lawful and safe; and
- Confirm transaction and payment details.
These steps do not eliminate all risk. They do not affect non-waivable statutory rights a buyer may have under applicable Nigerian law.
22.Payment Safety
AAE does not currently hold payments between buyers and sellers, and does not provide an escrow or payment-protection service.
Users should exercise care before making deposits, transfers, cash payments or advance payments. AAE does not imply that payment protection exists unless a specific service is actually implemented.
23.Communications
The Platform's primary vehicle-contact architecture consists of:
- Telephone contact (Call); and
- In-house messaging (offers and inspection requests submitted through the Platform).
Users must not use marketplace communications for scams, phishing, harassment, unlawful solicitation, malware distribution or impersonation.
Users are encouraged not to unnecessarily disclose sensitive financial information through marketplace communications.
24.Off-Platform Dealings
AAE cannot necessarily supervise interactions or transactions that occur outside its controlled systems.
This provision does not unlawfully waive responsibility where AAE has obligations under applicable law. Users should exercise appropriate caution when communications or payments move outside AAE's Platform.
25.Offers
Where the Platform supports offers:
- Offers should be genuine;
- Users must not submit abusive or fraudulent offers;
- An offer does not automatically mean AAE is party to the sale; and
- Acceptance and completion remain subject to the relevant buyer-seller transaction unless the Platform explicitly provides otherwise.
26.Inspection Requests
Where the Platform supports inspection requests:
- Users should submit genuine requests;
- Sellers and dealers should provide accurate information;
- Scheduling does not itself guarantee inspection completion; and
- Inspection status should not be falsified.
27.Reviews
Where the Platform supports dealer reviews, contributions must be genuine and based on actual experience.
Users must not engage in:
- Fabricated reviews;
- Review manipulation;
- Impersonation in reviews;
- Undisclosed self-reviews where deceptive; or
- Threats or extortion involving reviews.
AAE does not claim that every review is verified unless technically confirmed.
28.Reporting Listings and Users
Users may report suspected fraud, misrepresentation, prohibited content, impersonation or unsafe marketplace activity through the Platform's reporting functionality.
Reports must not be knowingly false or malicious.
AAE may investigate reports but does not guarantee that every report will produce a particular outcome.
29.Moderation
AAE operates moderation capabilities that allow it, where reasonably appropriate and consistent with the Terms of Use, to:
- Review listings;
- Request clarification from sellers or dealers;
- Reject listings;
- Remove listings;
- Restrict listing visibility;
- Moderate content;
- Suspend accounts or dealers;
- Reject verification applications; and
- Take proportionate safety and enforcement action.
AAE does not claim powers beyond what the Platform and Terms of Use support.
30.Enforcement
Enforcement action is proportionate to the circumstances. Depending on seriousness and history, AAE may take appropriate action.
Potential factors include:
- Severity of the violation;
- Fraud risk;
- Repeated violations;
- Safety considerations;
- Legal obligations; and
- Attempts to evade moderation.
AAE does not promise a fixed warning sequence. Serious fraud or safety issues may justify immediate action where legally appropriate.
31.Appeals and Corrections
AAE does not currently operate a formal automated appeals system.
Users with legitimate concerns regarding moderation or verification decisions may contact AAE at support@asabaautoexchange.com where appropriate.
AAE does not promise specific response deadlines unless actually established.
32.Suspended and Rejected Dealers
Dealers that are suspended or rejected may have marketplace access or public visibility restricted according to existing system behaviour.
Suspended or rejected dealers may not appear in public dealer directory or search results, and their listings may be restricted from public visibility.
33.Listing Status
Vehicle listings on the Platform may carry statuses including:
- Draft — not yet submitted or published;
- Pending review — submitted and awaiting or undergoing moderation;
- Active — publicly visible on the marketplace;
- Reserved — marked as reserved by the seller or dealer;
- Sold — marked as sold;
- Rejected — rejected during moderation; and
- Archived — removed from active display by the seller or an administrator.
Only active, reserved and sold listings are publicly visible on the marketplace. Sellers should keep listing availability reasonably current.
35.Marketplace Integrity
Users must not attempt to manipulate AAE systems through:
- Fake accounts;
- Coordinated fake reviews;
- Fake inventory;
- Artificial engagement;
- Repeated deceptive listings;
- Moderation evasion; or
- Unauthorized automation or scraping where prohibited by the Terms of Use or applicable law.
Attempts to compromise Platform security are prohibited. AAE does not disclose its internal anti-fraud or security methodology.
36.User Safety
AAE encourages practical marketplace safety, including:
- Inspect before payment;
- Verify documents;
- Verify the actual seller or dealer;
- Be cautious with advance transfers;
- Do not rely solely on listing photographs; and
- Do not treat account verification as vehicle inspection.
These guidelines do not create false guarantees and do not replace independent judgement.
37.AAE Does Not Guarantee Vehicles
Unless AAE expressly provides a specific written service stating otherwise:
AAE does not automatically warrant:
- Mechanical condition;
- Roadworthiness;
- Title;
- Accident history;
- Flood history;
- Mileage accuracy;
- Seller performance;
- Future reliability; or
- Suitability for a particular buyer.
This is balanced with applicable Nigerian consumer and statutory rights. AAE does not attempt to exclude rights that cannot legally be excluded.
38.Intellectual Property and Listing Content
Users must have appropriate rights to content they upload, including photographs and video links.
Users must not upload:
- Stolen photographs;
- Copyrighted dealer inventory without authority;
- Third-party branding deceptively; or
- Content that infringes applicable rights.
AAE's handling and licence of user content remain consistent with the Terms of Use.
39.Privacy
Marketplace participation is also subject to the Privacy Policy, which governs the collection, use and protection of personal information.
These Rules do not duplicate the Privacy Policy.
40.Terms of Use
Marketplace participation is also subject to the Terms of Use, which govern access to and use of the Platform.
Where these Marketplace Rules conflict with the Terms of Use, the Terms of Use prevail to the extent of the conflict, except where a mandatory legal requirement provides otherwise. Neither document excludes non-waivable statutory rights under applicable Nigerian law.
41.Changes to These Marketplace Rules
AAE may update these Marketplace Rules as the marketplace evolves. The public "Last updated" date will be revised when changes are made.
For material changes, AAE will communicate where appropriate or legally required. Continued use of the Platform after changes take effect does not waive statutory rights a user may have under applicable law.
